Welcome to LexBridge Consulting Inc.. These Terms govern your access to and use of our consulting and coordination services. By using our services, you agree to be bound by these Terms.

Nature of Services
Consulting & Coordination Only
LexBridge Consulting Inc. provides consulting and coordination services only and does not act as a law firm or provide legal services of any kind. All services are strictly advisory and facilitative in nature. The Company does not execute decisions, implement strategies, or act as an agent on behalf of any client.
Strategic Advisory
Non-binding guidance intended to support client decision-making, with final authority remaining solely with the client.
Project Management
Administrative and coordination oversight limited to planning support, tracking, and facilitation — not execution or delegated authority.
Stakeholder Coordination
Facilitating communication and alignment among parties without assuming control, representation, or decision-making power.
Our Scope
We focus exclusively on the coordination and advisory aspects of your needs. We do not execute decisions on your behalf.
The Company expressly disclaims any role beyond consulting and coordination. Our services are consultative in nature and do not include implementation, legal counsel, financial execution, or any agency relationship.

Nothing we provide should be treated as a substitute for advice, review, or representation from a qualified legal professional.
What We Are Not
  • A licensed law firm, legal practice, or provider of legal services
  • Providers of legal advice, legal opinions, or interpretations of law
  • Authorized legal representatives, attorneys, or agents for any client
  • Responsible for filing, negotiating, or appearing on any legal matter
What You Should Do
  • Retain a licensed attorney for any legal question, risk, or dispute
  • Obtain independent legal review before signing or relying on any contract
  • Seek qualified counsel for compliance, regulatory, and jurisdiction-specific issues
  • Confirm that all legal decisions are made only after professional legal advice

Nothing communicated by the Company — whether written or verbal — constitutes legal advice, creates an attorney-client relationship, or carries legal privilege. Clients are strongly advised to retain independent, qualified legal counsel for all legal matters.
Referral to Third-Party Professionals
LexBridge Consulting Inc. may coordinate with or refer clients to independent licensed professionals where a client's needs fall outside the Company's scope. Such referrals are made as a courtesy only. The Company is not responsible for the services, conduct, fees, advice, or outcomes of any independent professional.
Attorneys
Independent licensed legal professionals engaged solely by the client for legal advice, representation, or compliance matters.
Accountants
Independent financial professionals engaged directly by the client for tax, audit, bookkeeping, or accounting services.
Engineers
Independent licensed technical professionals engaged directly by the client for specialized analysis, design, or project support.
Other Specialists
Independent third-party professionals selected and retained solely by the client based on the requirements of the specific matter.

Any engagement with a referred third-party professional constitutes a direct, independent agreement solely between the client and that professional. The Company assumes no responsibility, liability, or obligation whatsoever for the services, fees, conduct, advice, or outcomes of any referred professional. The Company shall not be deemed a party to any such engagement.

Invoice-Based
How Payments Work
Clients are invoiced for consulting and coordination services rendered by LexBridge Consulting Inc. Payment is due within 7 business days of the invoice date via ACH or wire transfer. External professionals referred by the Company are independent contractors compensated separately and directly by the client under their own independent agreements.

Invoice Issued
The Company issues an invoice for consulting and coordination services upon completion of services or attainment of the applicable milestone.

Payment Submitted
The client remits the invoiced amount in full via ACH or wire transfer within the stated payment period.

Confirmation Received
Upon receipt and clearance of payment, the Company will update its records accordingly.
Accepted Payment Methods
  • ACH Transfer — domestic bank-to-bank transfer
  • Wire Transfer — domestic and international wires
Late Payment Consequences
Late or non-conforming payments may, at the Company’s discretion, result in:
  • Accrual of interest, late fees, and/or administrative charges to the maximum extent permitted by law
  • Immediate suspension or withholding of ongoing or future services until all overdue amounts are paid in full
  • Referral to collections, legal counsel, or other enforcement measures, with the client responsible for all associated costs and expenses
External Professional Fees: Any fees, retainers, or costs charged by third-party professionals referred by the Company are entirely separate from the Company's consulting fees. The Company bears no responsibility for such costs.

Payments not received within 7 business days of the invoice date are considered past due.
Limitation of Liability
To the maximum extent permitted by applicable law, LexBridge Consulting Inc.'s total aggregate liability to any client shall not exceed the total fees paid by that client to LexBridge Consulting Inc. in the three (3) months preceding the claim. Under no circumstances shall LexBridge Consulting Inc. be liable for any indirect, incidental, special, punitive, or consequential damages.
Excluded Damages
  • Loss of profits or revenue
  • Loss of goodwill or reputation
  • Loss of data or business opportunities
  • Loss of anticipated savings
  • Incidental, special, consequential, or punitive damages
Scope of Limitation
  • Applies regardless of legal theory
  • Covers contract, tort, negligence, strict liability, or otherwise
  • Applies even if damages were foreseeable
  • Applies whether liability is direct, indirect, vicarious, or otherwise asserted
Who Is Covered
  • The Company and its affiliates
  • Officers, directors, and employees
  • Agents, successors, and assigns
  • Suppliers, licensors, and authorized representatives

This limitation is intended to be comprehensive and applies to the fullest extent permitted by law, regardless of the form of action, the nature of the claim, or whether LexBridge Consulting Inc. has been advised of the possibility of such damages. Any claim arising from or relating to the services is subject to this limitation, exclusion, and cap.
Governing Law
State of Delaware, USA
These Terms of Service, and any dispute, claim, or controversy arising out of or relating to them or the breach, termination, enforcement, interpretation, or validity thereof, shall be governed by and construed exclusively in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions or rules.
Jurisdiction
All disputes, actions, and proceedings arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware.
Consent to Venue
Each party irrevocably submits to the personal jurisdiction of, and venue in, the Delaware courts, and waives any objection based on inconvenient forum, lack of personal jurisdiction, or improper venue.
Conflict of Laws
Delaware law shall apply exclusively, regardless of where the services are performed or received, or where the client is located.
Why Delaware?
Delaware is widely regarded as the preeminent U.S. jurisdiction for business entities because of its sophisticated, stable, and highly developed body of corporate and commercial law.
Its Court of Chancery offers specialized, non-jury adjudication by judges with deep expertise in business disputes, promoting predictability, efficiency, and consistent legal outcomes.
Modifications to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated in advance.

We determine a material modification is necessary.

Clients notified at least 7 business days before changes take effect.

Updated Terms take effect on the stated date.

Continued Use
Continued use of services constitutes acceptance.

What constitutes a material change? This is determined at our sole discretion. Examples include changes to payment terms, scope of services, or liability provisions.

We recommend reviewing these Terms periodically. The most current version will always govern your use of our services.
Non-material updates (such as grammar corrections or formatting) may be made without prior notice.

Binding Agreement
By using our services, you confirm that you have read, understood, and agreed to be bound by these Terms of Service in their entirety.

Understood
You comprehend the scope, limitations, and obligations herein.
Agreed
Your use of our services constitutes binding acceptance of these Terms.
